By accessing or using CertifyVendor's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
Description of Service
CertifyVendor provides a software-as-a-service (SaaS) platform for managing vendor insurance certificates, including but not limited to:
- Vendor and property management
- Insurance certificate storage and tracking
- Expiration alerts and notifications
- Vendor portal for certificate uploads
- Compliance reporting and analytics
Account Registration
To use our services, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
Subscription and Payment
Certain features of our service require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described in your subscription plan
- Provide valid payment information
- Authorize us to charge your payment method on a recurring basis
- Understand that fees are non-refundable except as stated in our Refund Policy
Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Upload malicious code or attempt to breach security
- Interfere with or disrupt the service
- Attempt to gain unauthorized access to other accounts
- Share your account credentials with others
- Resell or redistribute the service without authorization
- Upload content that infringes intellectual property rights
Data and Privacy

Intellectual Property
The service and its original content, features, and functionality are owned by CertifyVendor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any content you upload. By uploading content, you grant us a limited license to store, process, and display that content as necessary to provide the service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTIFYVENDOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
CertifyVendor is not responsible for verifying the accuracy or validity of insurance certificates uploaded by users or vendors. Users are responsible for independently verifying certificate authenticity.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately.
You may terminate your account at any time through your account settings or by contacting us. Termination will not affect any accrued rights or obligations.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the service after changes become effective constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
